Term of the Agreements: This Agreement will begin on the date of which Cattlesoft, Inc. approves your application, and is not retro-active. This agreement can be terminated at any time by either party with written notification. You will only receive affiliate payments during which you are a recognized Cattlesoft Website Affiliate member.
Modification: Upon occasion, we may modify terms and conditions in this Agreement by posting the changes to the website and also notifying you by e-mail. Your continued participation in the Cattlesoft Website Affiliate Program indicates your acceptance of the change.
Limitation of Liability: Cattlesoft, Inc will in no way be liable for any damages (either direct or indirect) that may arise in your participation of the Cattlesoft Website Affiliate program, even if Cattlesoft, Inc has been advised of the possibility of damages.
Website Content: Cattlesoft, Inc. reserves the right to monitor your website on occasion to ensure your continued compliance with this Agreement. In addition, Cattlesoft, Inc. reserves the right to review affiliate payments for possible fraud, and terminate this Agreement immediately if proof of fraud is found.
Spam: You specifically acknowledge that you will not send any e-mails (either solicited or unsolicited) in reference to the Cattlesoft Website Affiliate program, and realize that your age mmediately be terminated. If this policy is violated, you agree to be liable for costs and damages that Cattlesoft, Inc. may incur in relation to your Website Affiliate account.
Linking: You will be provided with a choice of Cattlesoft banner ads to include on your website. You agree that the image and URL/link we provide you cannot be changed, and any unauthorized changes are subject to termination of this Agreement.
Tracking: Cattlesoft, Inc. is responsible for tracking leads and sales that originate from your website. As with any software program, we cannot guarantee that the system will be 100% accurate and that all leads and sales will be tracked correctly. There may be rare occasion where a sale is not credited your account. A few reasons may be:
Your failure to accurately link to our site, or a customer (whether accidentally or on purpose) bypasses our technology to track the lead and sale.
Errors that may occur with the tracking software during a period of time that the software does not or is not able to track leads and/or sales.
Cattlesoft, Inc. will pay 10% commission after a customer re-enters the Cattlesoft website through the use of a Cattlesoft-placed file on their computer (called a "cookie"). The cookie must be in place on their computer at the time the software order is placed, and Cattlesoft, Inc will not be liable for times in which the lead was generated from your site but the cookie is not found or accessible when their order is placed.
Relationships and Responsibilities: You are solely responsible for your website, including all content and functionality, and Cattlesoft, Inc. will not be liable for any cost or problems that may occur regarding your website.
Relationship of Parties: Cattlesoft, Inc. and you are separate companies. You acknowledge that you will refer to your relationship with Cattlesoft, Inc as a "Cattlesoft Website Affiliate", and that you have no authority to make or accept any offers on behalf of Cattlesoft, Inc.
This Agreement will be governed by the laws of the United States of America and the State of Texas.
You acknowledge that you have read this Agreement and agree to all its terms and conditions.
